The Site is provided for general informational and promotional purposes about XenoMateria and its products. It does not constitute an offer, a commitment, or professional advice, and nothing on it creates a business or contractual relationship with us.

Our Xcode Web AI application, available at app.xenomateria.com, is a separate service with its own terms of service and privacy notice. These Terms do not govern your use of that application.

The Site and its contents — including text, graphics, the “XenoMateria” and “Xcode Web AI” names and logos, layouts, and design — are owned by XenoMateria or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to view the Site for your own informational use. You may not copy, reproduce, republish, frame, sell, or create derivative works from any part of the Site, or use our names or logos, without our prior written permission. You may link to the Site in a way that is fair and not misleading.

You agree not to:

• use the Site in violation of any applicable law or regulation;
• attempt to gain unauthorised access to the Site or related systems, or probe, scan, or test their vulnerability;
• interfere with or disrupt the Site, including by placing undue load on it or by using bots, scrapers, or other automated means to harvest content, except for legitimate search-engine indexing;
• introduce malware or any other harmful code; or
• use the Site to infringe the rights of others.

The Site may link to third-party websites or resources. We do not control and are not responsible for them, and a link does not imply endorsement. Accessing them is at your own risk and subject to their terms.

The Site is provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any information on it is accurate, complete, or current. Products, features, timelines, and other details described on the Site are under development and may change or be discontinued at any time without notice.

To the fullest extent permitted by law, XenoMateria and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your access to or use of (or inability to use) the Site, whether based in contract, tort, negligence, strict liability, or any other theory, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain of these limitations, so parts of this section may not apply to you.

You agree to indemnify and hold harmless XenoMateria and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Site or your breach of these Terms.

We may modify the Site or these Terms at any time. Updated Terms take effect when posted on this page, and the “Last updated” date will change. Your continued use of the Site after changes take effect means you accept the revised Terms.

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. You agree that the state and federal courts located in New Mexico will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to personal jurisdiction and venue there. Nothing in this section limits any mandatory consumer-protection rights available to you under the laws of your place of residence.

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and XenoMateria regarding the Site.
